Terms and Conditions

These Terms govern the use of rosebudhospitalityclub.com and the brokerage services provided by Rosebud Hospitality. By contacting us or requesting any service you accept these Terms.

1. Our role — intermediary status

Rosebud Hospitality acts solely as an INTERMEDIARY and CONCIERGE that helps clients identify, contact and book third-party providers (restaurants, nightclubs, hotels, villa owners, yacht operators, transport companies, sports and entertainment venues, etc.). Rosebud Hospitality is NOT the direct provider, owner or operator of those services and does NOT operate as a travel agency under EU Directive 2015/2302 unless expressly stated in a written booking confirmation.

Each service is provided and performed directly by the relevant third-party supplier (the "Provider"), under the Provider's own terms, conditions, prices, availability, insurance and licences.

2. Third-party providers — Provider's responsibility

The execution, quality, safety, lawfulness and continuity of each service is the sole responsibility of the Provider. This includes, without limitation: yacht charters, villa rentals, hotel stays, restaurant reservations, club tables, event tickets, sports hospitality, ground and air transport, and any other service we facilitate.

The client accepts that he or she will be subject to the Provider's own terms of service, house rules, cancellation policy, refund policy, security deposit, age requirements, dress code, conduct policy and insurance coverage. We will share the Provider's relevant terms upon written request.

3. Limitation of liability

To the maximum extent permitted by applicable law, Rosebud Hospitality's liability is limited to the brokerage fee actually received from the client for the specific service in dispute. Rosebud Hospitality shall NOT be liable for any direct, indirect, incidental, special, consequential, exemplary or punitive damages arising out of or in connection with the use of the website or the performance of any service by a Provider, including but not limited to:

a) personal injury, illness, accident or death; b) loss, theft or damage of personal property; c) cancellations, delays, no-shows, double bookings or downgrades by Providers; d) acts or omissions of Providers, their staff, or other clients; e) any criminal, negligent or unlawful conduct of third parties; f) force majeure events.

Nothing in these Terms excludes or limits liability for fraud, gross negligence, wilful misconduct or any liability that cannot lawfully be excluded under Spanish or EU consumer-protection law (in particular Real Decreto Legislativo 1/2007).

4. No warranty

The website and the brokerage service are provided "as is" and "as available". We make reasonable efforts to keep information accurate, but we make no warranty that any specific Provider, date, price or availability will be honoured. Photographs are illustrative and may differ from the actual venue or vehicle delivered by the Provider.

5. Force majeure

Neither Rosebud Hospitality nor any Provider shall be liable for any failure or delay in performance caused by events beyond reasonable control, including (without limitation) acts of God, weather, fire, flood, pandemics, government action, strikes, civil unrest, war, terrorism, airspace closures, port closures or any failure of public utilities or communications.

6. Bookings, payment and cancellation

Confirmation of any service is subject to (i) written confirmation from Rosebud Hospitality, (ii) payment of any deposit or full amount required by the Provider, and (iii) the Provider's own availability. Cancellation, modification, no-show and refund rules are those of the Provider and will be communicated in writing before payment.

We strongly recommend clients to arrange comprehensive travel and personal liability insurance for the duration of all booked services.

7. Client obligations and conduct

The client warrants that all information provided is true and accurate, that he/she is of legal age to enter into a contract and to receive the requested services, and that he/she will comply with the Provider's house rules, applicable laws and security instructions. The Provider may refuse access to any client who is intoxicated, unable to provide valid identification, or otherwise in breach of these conditions, without right to a refund.

8. Personal data

We process personal data in accordance with the EU General Data Protection Regulation (Regulation (EU) 2016/679) and the Spanish LOPDGDD. Details about how we collect, share and store data are available in our Privacy Policy.

9. Intellectual property

All content on this website (text, photographs, video, logo, design, layout) is owned by Rosebud Hospitality or used under licence. Any reproduction, distribution or public communication without prior written authorisation is prohibited.

10. Modifications

We may update these Terms at any time. The "Last updated" date at the top of this page reflects the latest version. Continued use of the website after publication of a new version constitutes acceptance of the updated Terms.

11. Applicable law and jurisdiction

These Terms are governed by Spanish law. Any dispute shall be submitted to the courts of Madrid, Spain, save where mandatory consumer-protection legislation grants the consumer the right to file claims before the courts of his/her place of residence within the European Union.

12. Online dispute resolution

Consumers resident in the European Union may also use the European Commission's Online Dispute Resolution (ODR) platform available at https://ec.europa.eu/consumers/odr/.
